Terms of Service

1. Acceptance of these Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Merchant", "Customer", "you" or "your") and Matteo De Giuseppe, an individual established in Italy and operating the SetRoasFlow platform ("SetRoasFlow", "Operator", "we", "our" or "us").
These Terms govern your access to and use of the SetRoasFlow platform, including:
- the web application;
- APIs;
- SmartScript;
- official plugins;
- integrations;
- software development kits (SDKs);
- documentation;
- dashboards;
- websites;
- and all related services (collectively, the "Services").
By creating an account, installing an official integration, using the SmartScript, connecting a Connected Property or otherwise accessing the Services, you agree to be bound by these Terms.
If you do not agree, you must not use the Services.
2. About SetRoasFlow
SetRoasFlow is a privacy-first Customer Data Platform ("CDP") that enables businesses to collect, process, enrich and route customer events through secure server-side infrastructure.
The Services may include functionality such as:
- server-side event collection;
- conversion tracking;
- customer profile creation;
- identity resolution;
- customer segmentation;
- audience synchronization;
- analytics;
- integrations with third-party destinations;
- reporting and monitoring;
- future features introduced by SetRoasFlow.
The Services are intended exclusively for business use.
3. Eligibility
You represent and warrant that:
- you are at least eighteen (18) years old or the legal age required in your jurisdiction;
- you have authority to bind the business you represent;
- you will use the Services only for lawful business purposes;
- the information you provide is accurate and kept up to date.
If you register on behalf of a company or organization, you represent that you have authority to accept these Terms on its behalf.
4. Definitions
For purposes of these Terms:
Connected Property means any website, ecommerce store, mobile application or digital property connected to the Services.
Collection Method means any supported mechanism used to transmit information to SetRoasFlow, including the SmartScript, APIs, SDKs, plugins and future supported integrations.
Destination means any third-party service selected by the Merchant to receive events, customer audiences or other information processed through the Services.
Merchant Customer Data means any customer information processed by SetRoasFlow solely on behalf of the Merchant.
Services means all software, infrastructure, APIs, documentation and related functionality provided under the SetRoasFlow brand.
5. Merchant Account
To access certain Services you must create an account.
You agree to:
- provide accurate information;
- keep your credentials confidential;
- maintain appropriate security measures;
- promptly notify us of unauthorized account access.
You remain responsible for all activities occurring under your account unless caused by our negligence or willful misconduct.
We reserve the right to suspend accounts reasonably believed to have been compromised.
6. Connected Properties
Merchants may connect one or more Connected Properties to SetRoasFlow.
Examples include:
- ecommerce stores;
- websites;
- mobile applications;
- custom applications;
- future supported platforms.
The Merchant is solely responsible for ensuring that it has the legal authority to connect each Connected Property.
The Merchant remains responsible for all content and Personal Data transmitted through Connected Properties.
7. Merchant Responsibilities
The Merchant is solely responsible for its use of the Services and for all activities performed through its account.
Without limitation, the Merchant agrees to:
- comply with all applicable laws and regulations;
- obtain any permissions, authorizations or consents required to collect and process Personal Data;
- provide legally compliant privacy notices to end users;
- configure the Services in accordance with applicable privacy requirements;
- ensure that data transmitted to SetRoasFlow has been lawfully collected;
- maintain appropriate administrative, technical and organizational safeguards for its own systems.
The Merchant remains solely responsible for determining:
- which Connected Properties use the Services;
- which Collection Methods are enabled;
- which Destinations receive customer data;
- how long customer information should be retained, subject to the functionality of the Services.
SetRoasFlow does not provide legal advice regarding the Merchant's compliance obligations.
8. Acceptable Use
The Merchant shall not use the Services to:
- violate any applicable law;
- infringe the rights of others;
- process unlawfully obtained Personal Data;
- distribute malware or malicious code;
- interfere with the security or operation of the Services;
- attempt unauthorized access to the platform;
- reverse engineer the Services except where expressly permitted by applicable law;
- use the Services to transmit unlawful, fraudulent or deceptive content;
- circumvent security controls or usage limitations.
The Merchant shall not use SetRoasFlow in connection with activities involving:
- illegal products or services;
- fraudulent advertising;
- unauthorized surveillance;
- unlawful profiling;
- sanctions violations;
- money laundering;
- terrorist financing;
- any activity prohibited under applicable law.
We may investigate suspected violations and take appropriate action, including suspension or termination of access.
9. Merchant Customer Data
As between the parties, the Merchant retains all rights, title and interest in Merchant Customer Data.
SetRoasFlow does not acquire ownership of Merchant Customer Data.
The Merchant grants SetRoasFlow only the limited rights necessary to:
- host the Services;
- process events;
- generate Customer Profiles;
- perform identity resolution;
- synchronize Merchant-selected Destinations;
- provide reporting and analytics;
- maintain platform security;
- comply with applicable law.
SetRoasFlow processes Merchant Customer Data solely for the purpose of providing the Services and in accordance with the applicable Data Processing Addendum where required.
10. Third-Party Destinations
The Services allow Merchants to connect third-party services ("Destinations") selected by the Merchant.
Examples may include advertising platforms, analytics providers, customer engagement tools and email marketing services.
The Merchant acknowledges that:
- each Destination is operated by an independent third party;
- the Merchant is responsible for deciding which Destinations to enable;
- transmissions to Destinations occur according to the Merchant's configuration;
- each Destination has its own terms, privacy policies and processing practices.
SetRoasFlow is not responsible for the acts, omissions or services of third-party Destinations.
11. Beta Services
Certain Services may be identified as beta, preview, early access or experimental features.
Beta Services are provided to assist with product evaluation and improvement.
To the maximum extent permitted by law:
- Beta Services may contain errors;
- features may change without notice;
- functionality may be modified or discontinued at any time;
- availability is not guaranteed.
The Merchant acknowledges that Beta Services should not be relied upon for mission-critical operations.
12. Fees and Future Paid Services
As of the Effective Date of these Terms, the Services may be offered without charge as part of a beta or promotional program.
SetRoasFlow reserves the right to introduce paid plans, usage limits or subscription fees in the future.
Before any paid subscription becomes effective, Merchants will be provided with appropriate notice regarding:
- pricing;
- billing frequency;
- payment methods;
- applicable taxes;
- renewal terms;
- cancellation procedures.
No Merchant will be charged unless they expressly agree to the applicable commercial terms.
13. Intellectual Property
SetRoasFlow and its licensors retain all rights, title and interest in and to the Services, including:
- software;
- source code;
- object code;
- APIs;
- documentation;
- trademarks;
- logos;
- dashboards;
- databases owned by SetRoasFlow;
- designs;
- proprietary technology.
Except for the limited rights expressly granted under these Terms, no license or ownership rights are transferred to the Merchant.
The Merchant shall not copy, reproduce, distribute, modify or create derivative works of the Services except as expressly permitted by these Terms or applicable law.
14. Suspension of the Services
SetRoasFlow may suspend or restrict access to all or part of the Services where reasonably necessary to:
- protect the security or integrity of the platform;
- investigate suspected fraud, abuse or unlawful activity;
- comply with applicable law or a lawful request from a competent authority;
- prevent harm to other Merchants or third parties;
- perform emergency maintenance;
- address technical issues that could affect the stability or security of the Services.
Where reasonably practicable, we will provide advance notice before suspending access.
Nothing in this section limits our right to immediately suspend access where necessary to protect the Services or comply with legal obligations.
15. Termination
Either party may terminate these Terms at any time.
A Merchant may terminate the Services by closing its account and discontinuing use of the platform.
SetRoasFlow may terminate or suspend these Terms if:
- the Merchant materially breaches these Terms;
- continued access creates security or legal risks;
- the Merchant repeatedly violates applicable law;
- fraudulent or abusive activity is detected;
- the Services are discontinued.
Termination does not affect any rights or obligations that accrued prior to termination.
16. Effect of Termination
Upon termination:
- the Merchant's right to access the Services will end;
- Connected Properties may be disconnected;
- integrations may cease functioning;
- access credentials may be revoked;
- Merchant Customer Data will be handled according to the applicable Data Processing Addendum and Data Retention Policy.
Certain provisions of these Terms shall survive termination, including those relating to:
- intellectual property;
- confidentiality;
- limitation of liability;
- indemnification;
- dispute resolution;
- provisions that by their nature are intended to survive.
17. Service Availability
While SetRoasFlow aims to provide reliable and continuously available Services, uninterrupted availability cannot be guaranteed.
The Services may occasionally be unavailable due to:
- scheduled maintenance;
- emergency maintenance;
- infrastructure failures;
- third-party outages;
- internet disruptions;
- events beyond our reasonable control.
We may modify, improve or discontinue portions of the Services as the platform evolves.
18. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Services are provided on an "AS IS" and "AS AVAILABLE" basis.
SetRoasFlow expressly disclaims all warranties, whether express, implied or statutory, including any implied warranties of:
- merchantability;
- fitness for a particular purpose;
- non-infringement;
- uninterrupted availability;
- error-free operation.
We do not warrant that:
- the Services will always be available;
- every event will be delivered successfully;
- every third-party Destination will remain available;
- advertising platforms will accept or process transmitted events;
- the use of the Services will improve advertising performance or business results.
19. Limitation of Liability
To the maximum extent permitted by law, SetRoasFlow shall not be liable for:
- indirect damages;
- incidental damages;
- consequential damages;
- special damages;
- punitive damages;
- loss of profits;
- loss of revenue;
- loss of goodwill;
- loss of business opportunities;
- loss of data;
- interruption of business.
To the extent permitted by applicable law, the total aggregate liability of SetRoasFlow arising out of or relating to the Services shall not exceed the greater of:
- the total amount actually paid by the Merchant to SetRoasFlow during the twelve (12) months immediately preceding the event giving rise to the claim; or
- EUR 100 where no fees have been paid.
Nothing in these Terms excludes liability that cannot legally be excluded under applicable law.
20. Indemnification
The Merchant agrees to defend, indemnify and hold harmless SetRoasFlow, its Operator, contractors and service providers from and against any claims, damages, liabilities, losses, costs and expenses (including reasonable legal fees) arising out of or relating to:
- the Merchant's use of the Services;
- Merchant Customer Data;
- violations of these Terms;
- violations of applicable law;
- infringement of third-party rights;
- unauthorized use of Connected Properties.
This obligation does not apply to the extent a claim results directly from SetRoasFlow's own willful misconduct or gross negligence.
21. Confidentiality
Each party agrees to protect Confidential Information disclosed by the other party using reasonable administrative, technical and organizational safeguards.
Confidential Information does not include information that:
- is publicly available without breach of these Terms;
- was lawfully known before disclosure;
- is independently developed without reference to the disclosed information;
- is lawfully obtained from a third party.
This obligation survives termination of these Terms.
22. Changes to the Services
SetRoasFlow continuously develops and improves the platform.
Accordingly, we may:
- introduce new features;
- modify existing functionality;
- discontinue obsolete functionality;
- update technical requirements;
- add or remove integrations.
Where material changes significantly affect the Services, we will provide reasonable notice where practicable.
23. Changes to these Terms
We may update these Terms from time to time.
If material changes are made, we will publish the updated version and revise the Effective Date shown at the beginning of this document.
Continued use of the Services after the updated Terms become effective constitutes acceptance of the revised Terms.
24. Governing Law
These Terms shall be governed by and construed in accordance with the laws applicable to the Operator's place of establishment, unless mandatory provisions of applicable law require otherwise.
Nothing in these Terms limits any rights that cannot legally be waived under applicable law.
25. Severability
If any provision of these Terms is determined to be invalid, illegal or unenforceable, the remaining provisions shall remain in full force and effect.
The invalid provision shall be interpreted or replaced to the minimum extent necessary to achieve its intended legal purpose.
26. Entire Agreement
These Terms, together with the Privacy Policy, the Data Processing Addendum (where applicable) and any additional agreements expressly incorporated by reference, constitute the entire agreement between the Merchant and SetRoasFlow regarding the Services.
